Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and InsiderOracle ("Company," "we," "us," or "our") concerning your access to and use of the InsiderOracle platform and services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Account Registration

To access certain features of the Service, you must create an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

You must be at least 18 years of age to create an account and use our Service. By creating an account, you represent and warrant that you are at least 18 years old.

3. Subscription and Billing

3.1 Subscription Plans

We offer the following subscription plans:

  • Monthly Plan: $25 per month, billed monthly
  • Yearly Plan: $250 per year, billed annually

All subscription plans include a 3-day free trial period. You will not be charged until the trial period ends.

3.2 Trial Period

Your 3-day free trial begins when you subscribe to a plan. You may cancel at any time during the trial period without being charged. If you do not cancel before the trial period ends, your subscription will automatically renew and you will be charged the applicable subscription fee.

Important: Free trials are limited to one per user. If you have previously used a free trial, subsequent subscriptions will not include a trial period and you will be charged immediately.

3.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You will be charged the then-current subscription fee for your plan.

3.4 Payment Processing

All payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for the applicable subscription fees. You are responsible for providing accurate and up-to-date payment information.

3.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of the paid period. No refunds will be provided for partial subscription periods.

3.6 Price Changes

We may change our subscription prices at any time. Price changes will not affect your current billing period and will take effect at the start of your next billing period. We will notify you of any price changes at least 30 days in advance.

4. Service Features and Usage

4.1 Platform Access

Your subscription provides access to our financial data platform, including:

  • Insider trading data and Form 4 filings
  • Executive compensation information
  • Institutional holdings (13F filings)
  • Historical insider holdings analysis
  • Form 144 restricted sales data
  • 10b5-1 trading plans
  • Form 8-K governance events
  • Company, industry, and sector analysis
  • AI-powered chat assistant

4.2 AI Chat Features

Our AI chat assistant is subject to usage limits designed to ensure quality and focused analysis:

  • Limited to 5 messages per chat session
  • Daily message limits may apply based on system capacity
  • Usage is tracked and stored for service improvement

AI responses are generated using OpenAI's GPT-4o-mini model and are provided for informational purposes only. See our Financial Disclaimer for important information about AI-generated content.

4.3 Data Exports

You may export data in CSV format for personal use. Exported data may not be redistributed, resold, or used for commercial purposes without our prior written consent.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to the Service or related systems
  • Engage in any automated use of the Service (scraping, bots, etc.) without permission
  • Interfere with or disrupt the Service or servers
  • Transmit any viruses, malware, or harmful code
  • Impersonate any person or entity or misrepresent your affiliation
  • Redistribute, resell, or sublicense access to the Service
  • Use the Service to create a competing product or service
  • Remove, alter, or obscure any proprietary notices

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these acceptable use provisions.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, software, and underlying technology, is owned by InsiderOracle and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software without our express written permission.

6.2 SEC Data

Financial data displayed in our Service is sourced from publicly available SEC filings and other public sources. While we present this data in a structured and enhanced format, the underlying data is public information. Our intellectual property lies in the collection, organization, analysis, presentation, and enhancement of this data.

6.3 User License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use during your subscription period.

7. Disclaimers

7.1 Service Availability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE MAY MODIFY, SUSPEND, OR DISCONTINUE THE SERVICE AT ANY TIME WITHOUT NOTICE.

7.2 Data Accuracy

While we strive to provide accurate and up-to-date information, we do not guarantee the accuracy, completeness, or timeliness of any data displayed in the Service. Data is sourced from public SEC filings and other sources and may contain errors, omissions, or delays.

7.3 Investment Advice

THE SERVICE DOES NOT PROVIDE INVESTMENT, LEGAL, TAX, OR FINANCIAL ADVICE. All information provided is for informational and educational purposes only. You should consult with qualified professionals before making any investment decisions. See our Financial Disclaimer for additional information.

7.4 AI-Generated Content

Our AI chat assistant uses artificial intelligence to generate responses based on the data available in our platform. AI-generated content may contain errors, inaccuracies, or inappropriate responses. You should independently verify all AI-generated information before relying on it.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSIDERORACLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Investment decisions made based on information from the Service

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless InsiderOracle, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Non-payment of subscription fees
  • Fraudulent, abusive, or illegal activity
  • Upon your request

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any modifications indicates your acceptance of the updated Terms.

If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

12. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired.

13. Entire Agreement

These Terms, together with our Privacy Policy and Financial Disclaimer, constitute the entire agreement between you and InsiderOracle regarding the Service and supersede all prior agreements and understandings.

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM. YOU ALSO ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD OUR PRIVACY POLICY AND FINANCIAL DISCLAIMER.
